The Process to List on Nasdaq

The process of listing on NASDAQ begins with the contractual procedures with stakeholders such as securities companies, lawyers, and auditing firms. The listing process progresses through the following steps.

  • Digitalization and Translation of Documents
    Since the documents need to be shared with stakeholders based in the U.S., it is necessary to not only scan and digitize documents such as contracts, invoices, and receipts but also translate them into English using translation software.

  • Due Diligence Support
    U.S. lawyers will review electronic documents, such as the translated business plan and contracts, to assess the value and risks of the company seeking to list. Documents are prepared in accordance with the list provided by the lawyers.

  • Preparation of Financial Statements in U.S. Standards
    To list in the U.S., financial statements need to be prepared in accordance with U.S. accounting standards, so it is necessary to convert them to U.S. GAAP.

  • Audit Support by U.S. Auditing Firms
    A U.S. auditing firm will audit the financial statements for the past 2 to 3 years. The necessary financial information and audit evidence (such as invoices and receipts) are prepared and submitted according to the list provided by the auditors.

  • Preparation of the Prospectus
    The prospectus is prepared in accordance with the form specified by the U.S. Securities and Exchange Commission (SEC), either F-1 or S-1.

  • Review by the U.S. Securities and Exchange Commission (SEC)
    The submitted prospectus will be reviewed by the SEC. Approximately one month after the initial submission, comments will be sent from the SEC, and the necessary revisions will be made in response to the comments.

  • Roadshow (Investor Presentation)
    A roadshow, or investor presentation, is held to encourage institutional investors to purchase shares.

NASDAQ exempts companies from the most significant barrier, internal controls, allowing for a faster path to listing. Additionally, the amount of capital that can be raised is remarkably high, and it is expected that the number of companies aiming for a NASDAQ listing will continue to grow. While there are hurdles to listing on NASDAQ, utilizing outsourcing can make the process far from being overly complicated.
